Hi!
I'm planning to build a small home cinema PC for playing DVD, DivX, XVid and so on...
Is the 800MHz C3 CPU of the VIA EPIA V-8000 fast enough for Software Decoding? How much RAM do I need?
I'm planning to use the onboard hardware only...
Is it easy to get the TV-out running?
Can I use distcc with that C3 Machine and my Athlon XP machine?

yes it's fast enough, there are lot's of internet sites devoted on epia-home-cinema. try this one and linitx.org
I would recomend 512Mb, but i think 256Mb should be enough. remember that the onboard graphic's chips steals some of that memory.
