i think it's worth it, yes.
it's a big step up, from a 1.2 to a 2800, and to 64 bits. you'll know the difference.
although...
i'd get a socket 939 motherboard, like umm any of the K8N series. because two years from now, when a 5000+ cpu costs $100, you'll be able to upgrade the cpu without replacing your whole system. if you get the 754, you'll only be able to upgrade from the 2800 to a 3700, and that's not very exciting.
also,
when i'm buying a new system i always get less ram than i need. ram is easy to upgrade. and it gets cheaper all the time. even if you've only got 256M, your new system will seem a lot faster than your old one. and in six months or so, when you're used to it, and get the upgrade bug, the decision will be easy. fifty or sixty bucks for a whole gig of ram! and then it will feel like a whole new computer again.
are you building it yourself?
if so, all i can say is, be careful.
check everything twice.
test early and often, and don't put the screws in the case until you know it's all working.
and when something doesn't work, take a deep breath, count to ten, and start again.
it always works out OK, but there is always a point when you think you've wrecked the whole thing.

no worries.
and when you think about how expensive it all is, just be thankful our hobby is computers not cars.
when you want a new paintjob on your computer, it takes a few hours and uses one can of spraypaint.
an absolute top of the line brand new screamingly fast computer, the envy of all your friends, is still cheaper than the smallest cheapest new car.
and computers very rarely kill pedestrians.
