Installing neti2220
evergreen ~ # ndiswrapper -l
Installed drivers:
neti2220 driver present, hardware present
evergreen ~ # modprobe ndiswrapper
evergreen ~ # dmesg | tail
ndiswrapper (free_all_objects:330): object ffff81000fdbe228 type 2 was not freed, freeing it now
ndiswrapper version 1.7 loaded (preempt=no,smp=no)
ndiswrapper (check_nt_hdr:169): driver is not for current architecture (PE signature is 0200)
ndiswrapper (load_sys_files:218): couldn't prepare driver 'neti2220'
ndiswrapper (load_wrap_driver:112): loadndiswrapper failed (65280); check system log for messages from 'loadndisdriver'

I don't know wat is wrong - I have 64 bit gentoo and 64-bit win driver (when I tried to install 32 bit I got message "ndiswrapper (check_nt_hdr:149): Windows driver is not 64-bit; bad magic: 010B" so I think that "number of bits" is ok :) )..
I believe that solution is trivial.. any ideas?
