Kernel panic after 2.6.25-r13

greetings,

i have run into odd problem.
I have multiple Gentoo-hardened machines, but im unable to upgrade to newer kernel since 2.6.25.
All newer versions (2.6.26, 2.6.28) give mee kernel panic on reboot.
I can boot new kernels fine, everything seems to work. But when i go to reboot i get oops in latest stage of reboot.

I can reproduce it always on multiple machines .. some of them with opteron some of them with Xeon 54xx.
